Terms of Sale

The terms that apply to trade accounts buying from Kira Jewels through this site: ordering, pricing, lead times, shipping, memo and returns.

1. Who these terms cover

These terms govern purchases from Kira Jewels Inc. through this site. This is a wholesale trade portal, not a consumer shop: accounts are opened for businesses that resell or set our goods, and access is approved by us before pricing is visible. By placing an order you confirm you are doing so for a business, and that whoever is signed in is authorised to bind that business.

Where we have a separate signed supply agreement with you, that agreement governs and these terms fill any gaps it leaves.

2. Your account

  • Keep your sign-in details to yourself. Anything done through your account is treated as done by you, so tell us immediately if you think someone else has access.
  • Keep your business, billing and shipping details current. We ship and invoice to what is on the account.
  • We may suspend an account for non-payment, for misuse of the site, or where we are required to.
  • Prices shown to you are your account's contract prices. They are confidential between us, and are not to be republished.

3. Orders and acceptance

Placing an order on this site is an offer to buy, not a concluded contract. The order is accepted when we approve it and confirm it back to you; until then we may decline it or correct it.

  • Stock is live but not reserved by adding to cart. Availability is confirmed at approval, and where we cannot supply the full quantity from stock we will produce the balance and tell you the revised timing.
  • Obvious errors in price or specification do not bind us. If something is clearly mispriced we will contact you before proceeding rather than quietly cancel.
  • Quotations are valid for the period stated on the quotation, and pricing on an unaccepted quotation may be revised if metal or goods costs move materially.
  • Custom and made-to-order pieces are produced to the specification confirmed with you. Once production starts they cannot be cancelled or returned, because they are made for you alone.

4. Pricing and payment

  • Payment terms are COD or Net 30, as agreed on your account, set at the time your order is approved.
  • Prices are in US dollars and exclude any sales tax, duty or import charge, which is yours to pay unless we have your valid resale certificate on file.
  • Card payments are processed by our payment provider. We never hold your full card number.
  • Net 30 means thirty days from the invoice date. Overdue balances may be charged interest at the maximum rate the law allows, and we may hold further shipments while an account is in arrears.
  • Title to the goods passes to you only when we have been paid in full. Risk passes on delivery.

5. Lead times

The site shows a lead time on every line before you buy, and splits a line where part of it ships from stock and part has to be made. Those timings are:

Lead times run from order approval, not from when the order was placed, and they are targets rather than guarantees. We will tell you if something is going to slip. We are not liable for a delay caused by something outside our reasonable control.

6. Shipping and delivery

  • Shipping on a Kira label is a flat $50 per order, and is free on goods over $5,000.
  • Saturday delivery adds $35. It is an option you choose rather than standard service, so it is charged even where the order otherwise ships free.
  • You may ship on your own courier account instead, or collect from our New York counter, in which case we charge no shipping. Where you use your own account, you must upload one courier label per parcel before the order can ship, and the risk in transit is yours.
  • Where an order spans several lead times you can have it sent together when everything is ready, or as each part becomes ready. Sending as ready may mean several parcels.
  • Check the shipment on arrival. Tell us about shortages or damage in transit within three business days so we can claim against the carrier.

7. Memo and consignment

Goods sent on memo remain our property. They are consigned to you for a limited period so you can show them to your own customer, and nothing about a memo is a sale until you tell us to invoice it.

  • Return or buy each memo piece by the memo due date. We may recall memo goods at any time.
  • While the goods are with you they are at your risk. Insure them for their full replacement value against loss, theft and damage.
  • Do not alter, set, resize or sell memo goods before they are invoiced to you.
  • Free shipping does not apply to memo goods, since a consignment is not a sale.

8. Returns and warranty

We stand behind our workmanship. If a piece reaches you faulty, or is not what the order specified, tell us and we will repair, replace or credit it.

  • Raise a fault or discrepancy within thirty days of delivery, with the order number and photographs.
  • Custom, made-to-order and resized pieces are not returnable except where they are faulty, because they were produced for you.
  • Normal wear, damage from mishandling, and work done by another bench are not covered.
  • Return authorisation is required before sending anything back. Goods returned without it may be refused.

Our diamonds are laboratory grown, and are described and graded as such on every document we issue. Where a certificate accompanies a stone, the grading in that certificate governs.

9. Using this site

  • The catalog, photography, copy and pricing on this site are ours, and are provided for you to sell our goods. Do not scrape the site, resell access to it, or republish our pricing.
  • You may use our product photography to sell the pieces you have bought from us. Do not present our goods as your own manufacture.
  • Do not attempt to reach accounts, orders or records that are not yours, or to interfere with the operation of the site.

10. Liability

Nothing here limits liability for fraud, for death or personal injury caused by negligence, or for anything else the law does not allow us to limit.

Beyond that, our total liability arising out of an order is limited to what you paid for the goods that gave rise to the claim, and we are not liable for lost profit, lost sales or other indirect loss. This is a wholesale supply relationship between businesses, and the pricing reflects that allocation of risk.

11. Governing law

These terms, and any dispute arising from them, are governed by the law of the State of New York, and the courts of New York County, New York have exclusive jurisdiction.

These terms take effect on August 12, 2026. We may change them, and the version in force is the one published here when you place your order. If a change is material we will tell account holders directly. Questions go to info@kirajewels.one.
